Private financiering

Welke ondernemer kent ze niet: de private financiers. Of het nu familie, vrienden of zakenrelaties zijn, voor velen zijn ze bij de start van een bedrijf onmisbaar om aan aanvullend kapitaal of een geldlening te komen. Toch biedt dit persoonlijke netwerk niet altijd uitkomst. Naarmate de financieringsbehoefte, de risico’s, de omvang en complexiteit van je plannen toenemen, zul je sneller op zoek moeten naar andere financieringsvormen, als alternatief of aanvullend. De particuliere financieringsmarkt kent een breed palet aan potentiële geldschieters.

Tip! Denk bij alternatieve financieringsbronnen ook aan leverancierskrediet, hypotheekbanken, leasemaatschappijen, huur en factoring. Voor je liquiditeitspositie het overwegen waard!

Business angels

Deze ‘angels’ worden ook wel informal investors genoemd. Het zijn veelal particulieren en voormalig ondernemers die, al dan niet verenigd, hun kennis, ervaring, netwerk en kapitaal inzetten voor startende of jonge, veelal innovatieve ondernemingen. Voor deze investeerders draait het om een goed plan en geloof in de ondernemer. Wat ze ook hebben, is de wil om risicodragend te investeren. De ondernemer ontvangt risicokapitaal. De informal investor krijgt een aandeel in de zeggenschap, het eigendom of de winst van de onderneming. De informal investor kan aandelen in je bedrijf kopen, zodat hij automatisch invloed kan uitoefenen op het bedrijf, of een geldlening verstrekken. Je kunt met hen in contact komen via erkende adviseurs voor mkb-bedrijfsfinanciering.

Tip! Informeer ook naar initiatieven van business angels en bijeenkomsten bij jou in de regio of daarbuiten. Zij brengen ondernemers en investeerders bij elkaar.

Private equity

Investerings- en participatiemaatschappijen, ook wel private equity genoemd, zijn doorgaans private maatschappijen waarin kleinere en grotere beleggers en/of investeerders zijn verenigd. Zij kunnen zorgen voor het benodigde risicodragend vermogen dat je als ondernemer nodig hebt om bij andere financiers met succes je kredietbehoefte te regelen. Risicodragend vermogen kan worden verstrekt in de vorm van zowel aandelenkapitaal als een (achtergestelde) lening. De drijfveer van private equity is rendement!

Kredietunie: een financieringsvorm in een coöperatief jasje

De kredietunie is een coöperatieve kredietvereniging van mkb-ondernemers. Doel van een kredietunie is om via een gemeenschappelijke kas geld uit te lenen aan collega-ondernemers binnen een sector of regio. Zowel kredietgevers als kredietnemers zijn lid en mede-eigenaar van de coöperatie. De kredietunie heeft geen winstoogmerk en wil voorzien in het verlenen van krediet van €50.000 tot € 500.000. Onder voorwaarden zijn hogere bedragen ook mogelijk. Verliezen en levende have worden in het algemeen niet door een kredietunie gefinancierd. De looptijd van de leningen ligt tussen de 1 en 10 jaar. De rente is meestal lager dan bij een commerciële instelling, zoals een bank.

Crowdfunding

Deze financieringsvorm wint snel aan populariteit. Het is een internetmarktplaats voor financiering. Hoe werkt het? De ondernemer plaatst het idee of plan op een van de crowdfundingplatforms en doet een beroep op meerdere particuliere investeerders om te financieren. Het crowdfundingsplatform vraagt meestal een vergoeding als je een idee plaatst. De kredietvraag, rente en looptijd van je financiering bepaalje zelf. Wil je de geldverschaffers in ruil voor hun inleg aandelen in het bedrijf of een percentage van de omzet of winst aanbieden, dan kan dat ook. Investeerders kunnen inschrijven tot de inschrijving vol is, waarna je financiering rond is!

Let op! De regelgeving voor alternatieve financieringsvormen staat nog in de kinderschoenen. Controleer of het crowdfundingplatform beschikt over een AFM-vergunning!

Nederlandsche Participatie Exchange (NPEX)

NPEX is een aandelenbeurs voor mkb-bedrijven. Via NPEX kan men financieringen krijgen van €500.000 tot €10.000.000 door de uitgifte van aandelen of obligaties. Vereist is dat je bedrijf minstens drie jaar bestaat en in deze drie jaar minstens één jaar winst heeft gemaakt. Aan de toegang tot de NPEX zijn kosten verbonden, eenmalig en periodiek. De obligaties kennen bij NPEX een looptijd tussen vier en zeven jaar. Je kunt ook kiezen voor converteerbare obligaties. Deze obligaties kan men na een afgesproken tijd omzetten in aandelen.

Overheid als cofinancier

Met de helpende hand van de overheid heb je als ondernemer meer kans van slagen om bij kredietinstellingen een lening te kunnen afsluiten. Ook al zijn je plannen en de financiële vooruitzichten nog zo goed, zonder voldoende zekerheden zul je de kredietaanvraag al snel zien stranden. Vandaar dat de overheid diverse regelingen in het leven heeft geroepen om de toegang tot de kredietmarkt te vergemakkelijken. Deze regelingen zijn veelal voorzien van soepeler voorwaarden.

Borgstelling MKB-Kredieten (BMKB)

Voor ondernemers met een financieringsbehoefte, maar onvoldoende onderpand, kan de BMKB uitkomst bieden. Deze is bedoeld voor bedrijven met niet meer dan 250 werknemers (fte’s) in dienst en een jaaromzet tot € 50 miljoen of een balanstotaal tot € 43 miljoen. De kredietregels inzake omvang, aflossing en looptijd zijn afhankelijk van het bestedingsdoel en type onderneming. Voorwaarde is wel dat de toekomstperspectieven gunstig zijn en de kredietverstrekker een aanvraag hiervoor indient. In de reguliere regeling betreft het borgstellingskrediet 50% van het krediet dat de bank verstrekt. De borg van de overheid bedraagt 90% van dit borgstellingskrediet. De BMKB is verruimd tot en met 1 juli 2027. Bedrijven met een kredietbehoefte tot € 333.333 kunnen driekwart financieren met BMKB-krediet en dus niet maximaal de helft van de kredietverstrekking. Verder is het maximum van het BMKB-krediet tijdelijk verhoogd van € 1 miljoen naar € 1,5 miljoen.

Tip! Om tegemoet te komen aan de economische gevolgen van de onrust in het Midden-Oosten kondigde het kabinet op 20 april 2026 aan het borgstellingskrediet voor de periode 1 juli 2026 tot 1 juli 2027 te willen verhogen van 50% naar 75% van het krediet dat de bank verstrekt.

Ook is de BMKB verruimd voor investeringen inzake verduurzaming, de BMKB-G (Groen). Deze verruiming is bedoeld voor mkb-ondernemingen met maximaal 250 personeelsleden. Met deze verruiming is de omvang van het borgstellingskrediet in de BMKB verhoogd van 50 naar 75% van het kredietbedrag. De looptijd van de garantie bedraagt maximaal 12 jaar. De provisie voor BMKB-G bedraagt 2% bij een looptijd tot en met 24 kwartalen en 3% bij een looptijd van 25 tot en met 48 kwartalen. De regeling is toepasbaar op:

  • Bedrijfsmiddelen die zijn opgenomen in de Energielijst
  • Overige middelen verbonden aan energie-investeringen (maximaal aandeel 50%)
  • De aanpassing of vervanging van bedrijfspanden naar ten minste Label C

Tip! De aanvraag van een BMKB-krediet of BMKB-G krediet loopt via je financier. Vraag de bank (of de niet-bancaire financierder) bij je kredietaanvraag of je in aanmerking komt voor de BMKB of BMKB-G!

Innovatiekrediet

Heb je een innovatief idee, maar ontbreken alleen de middelen nog om verder te investeren, dan biedt wellicht het Innovatiekrediet uitkomst. Hiermee kunnen veelbelovende innovatietrajecten worden gefinancierd. Het is een risicodragend krediet. Het krediet voor klinische ontwikkelingsprojecten bedraagt maximaal € 5 miljoen; voor technische ontwikkelingsprojecten bedraagt het krediet maximaal € 10 miljoen. In 2026 is € 10 miljoen voor klinische ontwikkelprojecten beschikbaar, € 10 miljoen voor technische ontwikkelprojecten en € 30 miljoen voor klinische én technische ontwikkelprojecten. Voor beide groepen projecten is in 2026 in totaal dus € 50 miljoen beschikbaar. Je kunt het innovatiekrediet aanvragen bij de Rijksdienst Voor Ondernemend Nederland (rvo.nl) tot en met 31 december 2026. Op de site van de RVO kun je via een Quick Scan snel nagaan of je voor een innovatiekrediet in aanmerking komt.

Microkrediet

Veel ondernemers zijn al geholpen met een relatief gering krediet. Maar het risicoprofiel belemmert de toegang tot een bankkrediet. Denk dan eens aan microfinanciering. Op dit moment bedraagt het kredietplafond € 50.000 en de rente 9,95%. Daarnaast betaalje een bedrag aan behandelkosten, dat loopt uiteen van € 375  tot maximaal € 850. Voor ondernemers met een zogenaamde sociale doelstelling is het kredietplafond € 250.000 en bedraagt de rente 7,95%. De regeling staat open voor startende en bestaande ondernemers in het midden- en kleinbedrijf en wordt uitgevoerd door Qredits Microfinanciering Nederland. Qredits komt alleen in beeld als de bank je kredietaanvraag heeft afgewezen.

MKB-krediet

Sinds enkele jaren biedt Qredits ook het MKB-krediet aan. Dit is een zakelijke lening aan startende en bestaande ondernemers in het mkb van minimaal € 50.000 en maximaal € 250.000. Deze lening is er speciaal voor ondernemers die een financiering nodig hebben en hiervoor niet bij een bank terechtkunnen. Er geldt wel een aantal voorwaarden. De rente bedraagt 9,95%. Voor ondernemers met een zogenaamde sociale doelstelling bedraagt de rente 7,95%.

Voor bestaande ondernemers die onverwachts extra geld nodig hebben voor hun bedrijf is er het flexibel krediet. Je betaalt daarbij alleen rente over het opgenomen bedrag van je lening. Het maximum bedraagt € 25.000 en de rente bedraagt 1,1% per maand over het opgenomen bedrag. Ook betaalt u 2% aan beheerskosten per jaar en eenmalig een vast bedrag dat varieert van € 375 tot € 650. Speciaal voor de financiering van zakelijk onroerend goed biedt Qredits een hypothecair krediet.

Vroegefasefinanciering

Ben je ambitieus, groeit je onderneming in de komende periode substantieel in omvang en wil je onderzoeken of je idee kans van slagen heeft op de markt, dan is de Vroegefasefinanciering misschien iets voor je. Met een lening uit deze financieringsvorm kan de overheid je ondersteunen om je idee van de planfase naar de startfase te brengen. Het maximum van de lening bedraagt €450.000. Uiteraard moet je de lening, inclusief 7,19% (per 1 januari 2026) rente, terugbetalen. Meer informatie vind je op RVO.nl.

Garantie Ondernemingsfinanciering GO-regeling)

Speciaal voor (middel)grote ondernemingen die hoofdzakelijk actief zijn in Nederland, financieel gezond zijn en toekomstperspectief hebben, is er nog de GO-regeling. Via de GO-regeling kan de bank met 50% overheidsgarantie de benodigde extra zekerheden binnenhalen. Leningen van maximaal € 150 miljoen zijn tot maximaal de helft gegarandeerd. De GO-regeling kun je aanvragen tot 1 juli 2026 17.00 uur bij één van de twaalf tot de GO-regeling toegelaten banken, waaronder ABN-Amro, ING en de Rabobank.

Tip! Om tegemoet te komen aan de economische gevolgen van de onrust in het Midden-Oosten kondigde het kabinet op 20 april 2026 aan de GO-regeling vanaf 1 juli 2026 met vijf jaar te willen verlengen met een garantieplafond van € 300 miljoen.

De besproken regelingen zijn slechts een selectie uit het groeiende aanbod. Wij kunnen de kansen en de valkuilen met je verkennen om uiteindelijk te komen tot een passende financieringsoplossing.

Voor mkb-bedrijven is het niet eenvoudig om geld te lenen bij een bank. Gelukkig is er een nieuwe financieringsmarkt ontstaan, een markt die complementair kan zijn aan de zo vertrouwde bancaire financiering. Daarnaast biedt ook de overheid je soms nog extra financieringshulp. Welke alternatieve mogelijkheden zijn er?

Hoogte gebruikelijk loon

Het gebruikelijk loon wordt in 2026 gesteld op het hoogste van de volgende bedragen:

  • het loon uit de meest vergelijkbare dienstbetrekking, of
  • het loon van de meestverdienende werknemer in de bv of verbonden bv’s, of € 58.000.

Ook lager?

Het is mogelijk om het gebruikelijk loon lager vast te stellen als aannemelijk is dat het loon uit de meest vergelijkbare dienstbetrekking lager is dan het hoogste van deze drie bedragen. De belastingplichtige moet het aannemelijk kunnen maken, als hij bepleit dat het loon uit de meest vergelijkbare dienstbetrekking lager is dan het wettelijk bepaalde.

Aanmerkelijk belang telt niet mee

Daarnaast is bepaald dat het loon uit de meest vergelijkbare dienstbetrekking niet vastgesteld mag worden op het loon van een werknemer die zelf een aanmerkelijk belang in de bv bezit. Voor het bepalen van de werknemer met het hoogste loon, is het bezit van een aanmerkelijk belang echter niet relevant. 

Dga slaagt niet in bewijslast

In een zaak die speelde bij Rechtbank Den Haag slaagde de dga van een bv niet in de op hem rustende bewijslast. Het loon van een dga was volgens de dga vastgesteld op die van de meest vergelijkbare dienstbetrekking. Dit zou niet meer dan € 6.000,- bruto per maand zijn. Dit gebruikelijk loon lag lager dan de meestverdienende werknemer uit bedrijf, een mede-dga in het bedrijf. De inspecteur stelde dat het gebruikelijk loon moest worden vastgesteld op het loon van deze mede-dga.

Primair loon niet het uitgangspunt

Het gebruikelijk loon was ook volgens de rechtbank te laag, gelet op het feit dat de dga algemeen directeur van een administratiekantoor was, daar ook de verantwoordelijke taken naar had, beschikte zo’n 30 jaar werkervaring en een werkweek had van ongeveer 60 uur. 

Uit de feiten bleek bovendien dat de dga ten onrechte was uitgegaan van het primaire loon en daarbij het vakantiegeld en de auto van de zaak buiten de berekeningen had gehouden. Dit moet bij de vaststelling van het brutoloon bij het primaire loon worden opgeteld.

Conclusie

De inspecteur had het gebruikelijk loon dan ook terecht gelijkgesteld aan het loon van de meestverdienende werknemer uit het bedrijf. De naheffingen bleven dan ook in stand.

Lager gebruikelijk loon dga moet realistisch zijn

Een dga met minimaal 5% van de aandelen moet een gebruikelijk loon in aanmerking nemen als hij ook werkzaamheden verricht voor de bv. Dit mag het loon zijn uit de meest vergelijkbare dienstbetrekking. Dat moet dan wel aannemelijk gemaakt kunnen worden door de dga zelf.

Rekening-courant

In de praktijk hebben veel dga’s een rekening-courantverhouding met de bv. Bij een rekening-courant met afwisselende debet- en creditstanden heeft de staatssecretaris van Financiën goedgekeurd dat er – onder voorwaarden – geen rente in box 1 in aanmerking hoeft te worden genomen als het saldo van de rekening-courantverhouding gedurende het kalenderjaar niet hoger is dan € 17.500 positief en niet lager is dan € 17.500 negatief. De bv mag in dat geval de rente ook niet in aanmerking nemen. U mag een eventuele rekening-courantschuld in dat geval ook niet in box 3 opnemen. Een eventuele rekening-courantvordering valt in box 1 en dus ook niet in box 3.

Let op! Zodra het saldo op de rekening-courant hoger is dan € 17.500, moet over het hele jaar over het hele bedrag rente worden berekend.

De goedkeuring van de staatssecretaris geldt niet voor leningen, dus ook niet voor leningen waarvan het saldo niet hoger is dan € 17.500.

Dga-tax

Sinds 1 januari 2023 bestaat een maatregel om excessief lenen van de dga bij de eigen bv te ontmoedigen, in de volksmond de ‘dga-tax’ genoemd. De maatregel houdt in 2026 kort gezegd in dat het bedrag dat boven € 500.000 van de bv is geleend, bij de dga als inkomen uit aanmerkelijk belang wordt gerekend. De drempel van € 500.000 geldt voor de dga en zijn partner gezamenlijk, en ook voor alle bv’s tezamen waarin de dga en de partner een aanmerkelijk belang houden. Deze maatregel geldt voor alle directe en indirecte schulden, ongeacht waarvoor deze zijn aangegaan.. Alleen eigenwoningschulden die voldoen aan de wettelijke bepalingen om renteaftrek te krijgen in de inkomstenbelasting zijn uitgezonderd. Er moet wel ook een recht van hypotheek verstrekt zijn aan de bv, tenzij de eigenwoningschuld op 31 december 2022 al aan de bv verschuldigd was.

Als uw bloed- en aanverwanten in de rechte lijn (groot)ouders en (klein)kinderen) ook schulden hebben aan uw bv, dan tellen deze schulden over het algemeen ook mee voor het deel dat boven de € 500.000 uitkomt. Wel heeft iedere bloed- of aanverwant nog een ‘eigen’ drempel van € 500.000. Slechts het meerdere is dan belast, maar wel bij de dga en dus niet bij de betreffende bloed- of aanverwant. Maar let op, dat is anders als de bloed- en aanverwanten zelf een aanmerkelijk belang hebben in uw bv.

Let op! De peildatum voor dit jaar is 31 december 2026. Heeft u dus voor meer dan € 500.000 aan schulden bij uw eigen bv, dan kunt u belastingheffing in box 2 nog voorkomen door het meerdere boven € 500.000 uiterlijk op 31 december 2026 af te lossen. Overleg met onze adviseurs wat u eventueel kunt doen.

Sparen en beleggen in de bv

U kunt ook sparen en beleggen in uw bv en privékapitaal als vermogen in de bv brengen. Het werkelijke rendement is dan bij de bv belast, in plaats van een forfaitair of werkelijk rendement dat bij u in box 3 belast is.

Tip! In box 3 kan het werkelijk rendement belast zijn als dit lager is dan het forfaitair rendement. Het werkelijk rendement in box 3 kan, door de spelregels die de Hoge Raad hierover gaf, anders zijn dan het werkelijk rendement in de bv. Of het fiscaal voordeliger is om privékapitaal in de bv in te brengen of te (blijven) sparen en beleggen in privé zal van geval tot geval verschillen. Overleg over uw eigen situatie met onze adviseurs. 

Let op!Sparen of beleggen in de bv kan misschien ook aantrekkelijk zijn als u toeslagen krijgt. Vermogen in uw bv telt niet mee voor de vermogenstoets die bij toeslagen geldt en die als gevolg heeft dat u vanaf een bepaald vermogen geen recht meer heeft op de meeste toeslagen.

Geldleningen

Iedere transactie tussen u en de bv moet zakelijk verlopen. Dat geldt ook voor de geldverstrekking tussen de dga en de bv. Denk hierbij aan een schriftelijke leningsovereenkomst met daarin in ieder geval een aflossingsschema en een zakelijk rentepercentage. Bovendien zal het over het algemeen zakelijk zijn om zekerheden te stellen. Om te beoordelen of de overeenkomst zakelijk is, moet u zichzelf onder meer afvragen of u of de bv een dergelijke leningsovereenkomst tegen dezelfde voorwaarden ook zou zijn aangegaan met een onafhankelijke derde.

Borgstelling

Als dga kunt u zich ook borg stellen voor schulden van uw bv. Soms is dit vereist om voor de bv een lening van de bank te verkrijgen. Zorg ervoor dat wanneer u zich borg stelt, u dit doet op zakelijke voorwaarden. 

Let op! Houd er rekening mee dat wanneer u als borg wordt aangesproken voor een lening van uw bv, dit verlies voor u meestal niet aftrekbaar is volgens de Belastingdienst. Het verlies is namelijk niet aftrekbaar als u het risico van de borgstelling aanvaard vanuit uw rol als aandeelhouder van de bv. De Belastingdienst vindt dat hier bijna altijd sprake van is.

Zorg er in ieder geval voor dat u zakelijke voorwaarden hanteert. Ook hierbij geldt dat dit voorwaarden moeten zijn, waaronder u zich ook voor de schuld van een willekeurige derde borg bij de bank zou willen stellen. De vergoeding die u van uw bv ontvangt voor de borgstelling, is bij u belast in box 1 en is voor de bv aftrekbaar.

Tip! Heeft u al een lenings- of borgstellingsovereenkomst, laat deze dan regelmatig door ons checken. Zo bent u er zeker van dat alles nog steeds in orde is.

Lenen aan de bv

Leent u geld aan uw bv, dan is de zakelijke rente die de bv aan u betaalt als bedrijfslast aftrekbaar in de vennootschapsbelasting. Uzelf krijgt te maken met de regeling omtrent het ter beschikking stellen van vermogensbestanddelen (hierna: TBS-regeling). Dat betekent dat de rente op de geldlening in box 1 progressief is belast. Hiervoor geldt de TBS-vrijstelling van 12% tegen maximaal een tarief van 37,56%. Wordt er een onzakelijk hoge rente afgesproken? Dan wordt voor de aftrekbare rente (bij de bv) en de belastbare rente (bij de dga) uitgegaan van een normale, zakelijke rente. Het meerdere, niet-zakelijke voordeel wordt mogelijk gezien als een vermomde winstuitdeling en is bij u belast in box 2 (aanmerkelijk belang) en bij de bv (als verkapt dividend) niet aftrekbaar.

Lenen van de bv

Leent u geld van uw bv, dan kunt u dit doen in uw hoedanigheid als werknemer of als aandeelhouder. Het is belangrijk om dit van tevoren vast te stellen, omdat de fiscale gevolgen in beide situaties anders (kunnen) zijn.

Let op! Voorkom bij het lenen dat de bv in financiële problemen kan komen. De bv moet aan haar (betalings)verplichtingen kunnen blijven voldoen. Dit is van nog groter belang als de bv ook een pensioen of stamrecht in eigen beheer heeft.

Bij een personeelslening – u leent in uw hoedanigheid als werknemer – kan sprake zijn van een rentevoordeel. Dat is het geval als u geen of minder rente betaalt over de lening dan bij een kredietverlener. Het rentevoordeel vormt voor de waarde in het economisch verkeer belastbaar loon. Deze waarde kunt u bepalen door de rente van verschillende banken te vergelijken. Het belaste rentevoordeel kan worden aangewezen als eindheffingsloon en eventueel opgenomen in de ‘vrije ruimte’ van de werkkostenregeling. Die bedraagt in 2026 2% van de loonsom tot € 400.000 en 1,18% over het meerdere daarvan. Voor zover de aangewezen vergoedingen en verstrekkingen meer bedragen dan de vrije ruimte, is de werkgever 80% heffing verschuldigd.

Let op! Als u niet aanwijst als eindheffingsloon, is het rentevoordeel individueel bij u belast in de loonheffing.  Houd er rekening mee dat het totaal van alle aangewezen vergoedingen en verstrekkingen aan een werknemer gebruikelijk moet zijn.. Als de aangewezen vergoedingen en verstrekkingen maximaal € 2.400 per persoon per jaar bedragen, zal de Belastingdienst  ̶  met uitzondering van bijzondere gevallen  ̶  de gebruikelijkheid niet ter discussie stellen.

Er is een uitzondering als u de personeelslening gebruikt voor de eigen woning. Het rentevoordeel van een dergelijke lening moet tot uw belastbaar loon worden gerekend. Het voordeel is loon in natura, waarover uw bv als werkgever verplicht loonheffingen moet berekenen. Het belaste rentevoordeel mag dus niet worden opgenomen in de vrije ruimte van de werkkostenregeling. Wel mag u het belastbare eigenwoningrentevoordeel in aftrek brengen binnen de eigenwoningregeling in uw aangifte inkomstenbelasting. Het maximum aftrekpercentage is voor 2025 bepaald op 37,56%.

Tip! Gebruikt u de lening voor het kopen van een (elektrische) fiets of elektrische scooter, dan is het mogelijk om geen of een lagere rente te rekenen. Het rentevoordeel blijft dan onbelast.

Let op! Soms kan de Belastingdienst zich op het standpunt stellen dat een personeelslening voor een dga niet mogelijk is. Dit is met name het geval als de mogelijkheid van een personeelslening alleen openstaat voor de dga zelf en niet voor andere werknemers van de bv.

Als u als aandeelhouder leent, staat ook hier het zakelijk handelen voorop. Leent u voor consumptieve doeleinden of bijvoorbeeld om hiermee in privé te beleggen, dan valt de lening als schuld bij u in box 3. De door u aan de bv betaalde rente is bij u niet aftrekbaar als u in box 3 belast wordt volgens de forfaitaire regeling, maar bij de bv als ontvangen rente wel belast. Deze lening telt dan uiteraard ook mee voor de regeling van de dga-tax (zie hiervoor).

Let op!Geld lenen van de bv voor beleggingen in privé is in 2026 waarschijnlijk niet  aantrekkelijk als u in box 3 belast wordt volgens de forfaitaire regeling. Voor de beleggingen geldt in 2026 in box 3 namelijk een forfaitair rendement van 6,00%, terwijl de schulden maar aftrekbaar zijn tegen waarschijnlijk 2,70% (het percentage van 2,70% is voorlopig, het definitieve percentage is pas begin 2027 bekend).

Let op! In box 3 mag u volgens de tegenbewijsregeling ook uitgaan van uw werkelijk behaalde rendement, als dit lager is dan het forfaitaire rendement. Dit werkelijke rendement is niet altijd wat u zelf als werkelijk rendement ervaart omdat dit berekend wordt volgens de spelregels die de Hoge Raad daarover gaf. Onze adviseurs kunnen u daar voor uw eigen situatie meer over vertellen.

Lenen voor de eigen woning

De bv kan u ook een lening verstrekken voor de aanschaf, verbouwing of het onderhoud van een eigen woning. Uitgaande van een zakelijke leningsovereenkomst is de rente voor u als eigenwoningrente aftrekbaar in box 1  en bij de bv belast. Met ingang van 2013 moet een nieuwe eigenwoninglening aan aflossingseisen voldoen om voor renteaftrek in aanmerking te komen. Heeft u uw op 31 december 2022 bestaande eigenwoninglening bij de bv sindsdien verhoogd, dan moet u voor deze verhoging ook rekening houden met deze aflossingseisen. Voor het nieuwe deel van de lening is de rente dan alleen nog aftrekbaar als de lening in maximaal dertig jaar en ten minste volgens een annuïtair schema volledig wordt afgelost.

Let op! Heeft u sinds 1 januari 2013 geld geleend voor de eigen woning bij de bv, dan geldt voor u een informatieplicht. U moet de Belastingdienst informeren over deze hypothecaire geldlening in uw jaarlijkse aangifte inkomstenbelasting.

Investeren in eigen bedrijfspand

 Mocht u willen en kunnen  investeren in een eigen bedrijfsruimte, dan is de vraag wie gaat investeren. U als dga? Het bedrijfspand komt dan op uw naam te staan. Of kunt u beter kiezen voor een investering vanuit de bv?

Let op! Investeren vanuit privé of vanuit de bv wordt fiscaal verschillend behandeld. Wat in uw situatie de mogelijkheden zijn, kunnen wij met u bespreken.

Op naam van de bv

De keuze om het eigen bedrijfspand vanuit de bv aan te houden, wordt – naast de fiscaliteit – ook bepaald door de aanwezige bedrijfsrisico’s en uw toekomstplannen. We zien vaak dat het bedrijfspand wordt afgezonderd van de risico’s van de onderneming. Zeker als het pand tevens dient als beleggingsobject. Vanuit de bv wordt het pand vervolgens verhuurd aan de werkmaatschappij. De huuropbrengsten – na aftrek van onder meer afschrijvingen en (financierings)kosten – zijn als winst onderworpen aan de heffing van vennootschapsbelasting. Een latere winst of verlies bij verkoop behoort eveneens tot de fiscale winst.

Tip! Het onderbrengen van het bedrijfspand in een aparte bv maakt een toekomstige bedrijfsoverdracht gemakkelijker te structureren en te financieren.

Op naam van de dga

Kiest u ervoor om vanuit privé te investeren in een pand en verhuurt u dit privépand aan uw bv, dan valt het pand onder de terbeschikkingstellingsregeling (TBS-regeling). De huurinkomsten, afschrijvingen, exploitatielasten alsmede boekwinsten en verliezen op het pand behoren tot uw box 1-inkomen. Let wel: bent u gehuwd en behoort het pand tot de algehele of beperkte gemeenschap van goederen, dan wordt dit box 1-inkomen voor 50/50 aan u en uw echtgeno(o)t(e) toegerekend.

Voor de hoogte van de fiscaal aftrekbare afschrijvingslasten moet u rekening houden met een beperking. Dat geldt ook als de bv het bedrijfspand aanhoudt. Afschrijving is niet meer mogelijk als de boekwaarde van het pand de bodemwaarde heeft bereikt. Deze bodemwaarde is sinds 1 januari 2024 zowel in de vennootschapsbelasting als in de inkomstenbelasting beperkt tot 100% van de WOZ-waarde van het pand. Voor bedrijfspanden waarop vóór 1 januari 2024 al is afgeschreven, maar waarop nog geen drie volledige jaren zijn afgeschreven, geldt overgangsrecht. In die gevallen is de bodemwaarde, onder voorwaarden, nog niet beperkt tot 100% van de WOZ-waarde, maar tot 50% van die waarde.

Tip! Onder de TBS-regeling worden de opbrengsten weliswaar belast tegen het progressieve IB-tarief tot maximaal 49,5%, maar door toepassing van de TBS-vrijstelling is het effectieve tarief voor de dga lager. Door de TBS-vrijstelling is namelijk 12% van het resultaat vrijgesteld. Let wel dat deze 12% vrijstelling geldt tegen maximaal een tarief van 37,56%.

Belastingtarief in box 2

Als uw bv dividend aan u uitkeert, bent u belasting verschuldigd in box 2. Dat kan ook het geval zijn in andere situaties, waarvan er een aantal hiervoor beschreven staan.  In 2026 gelden twee tarieven in box 2. Over de eerste € 68.843 aan box 2-inkomen (voor fiscale partners geldt het dubbele bedrag) bent u 24,5% belasting verschuldigd in box 2. Over het meerdere bedraagt de belasting 31%.

Bv studiekosten laten betalen

De bv kan voor u als werknemer, net als voor ‘gewone’ werknemers, onbelast studiekosten vergoeden. Het gaat om kosten voor het onderhoud en verbetering van kennis en vaardigheden voor  uw huidige werk of om een opleiding of studie voor toekomstig werk. In dat laatste geval is het wel belangrijk dat het gaat om realiseerbaar inkomen. Loopt u bijvoorbeeld tegen pensioenleeftijd en duurt de opleiding lang? Dan is het de vraag of u daadwerkelijk inkomen gaat realiseren.

Naast voor uzelf, kunt u bijvoorbeeld ook uw kinderen in dienst nemen en hun opleidingskosten betalen. Let hierbij wel op dat het een zakelijke uitgave moet zijn voor uw onderneming. Als u uw eigen kind hierbij heel anders behandelt dan andere werknemers of de opleiding heeft geen verband met de (toekomstige) werkzaamheden van het kind , dan zal de Belastingdienst de kosten al gauw onzakelijk vinden. De kosten zijn dan niet meer aftrekbaar bij de bv en de Belastingdienst zal dit als een uitdeling beschouwen.

Kopen van en verkopen aan de bv

Regelmatig komt het voor dat een dga spullen koopt van of verkoopt aan zijn bv. Denk aan een auto, beleggingen of onroerende zaken. Dergelijke transacties zullen altijd kritisch bekeken worden om te zien of u wel zakelijk handelt. In een dergelijk geval is het handig om de waarde te kunnen bewijzen, denk bijvoorbeeld aan een taxatie door een onafhankelijke partij of een aanbieding voor een vergelijkbaar bedrag. Zorg dat u deze bewijsmiddelen goed bewaard en voorkom dat u bijvoorbeeld een uitdeling in aanmerking moet nemen (geen aftrek van Vpb en wel belasting over de uitkering).

Tot slot

U kunt voordelig uit zijn als u zakendoet met uw eigen bv, maar moet daarbij goed de (fiscale) regels in het oog houden. In deze advieswijzer staan slechts enkele voorbeeldengenoemd. Wij vertellen u er graag meer over.

Advieswijzer Zakendoen met uw eigen bv

Als directeur-grootaandeelhouder (dga) bent u in de unieke positie om zaken te doen met uw eigen bv. Partijen moeten dan wel zakelijk met elkaar omgaan en afspraken moeten goed zijn vastgelegd. Wie de regels in acht neemt, kan goed zakendoen met zijn eigen bv.

Verplichtingen bij zieke werknemer

Een werkgever is verplicht om minimaal 104 weken lang het loon door te betalen als een werknemer ziek en als gevolg daarvan arbeidsongeschikt is. Daarnaast moet de werkgever zich inspannen om de werknemer optimaal te re-integreren, bij voorkeur in zijn eigen werk dan wel in de eigen organisatie. Dit wordt re-integratie in spoor één genoemd.

Als duidelijk is dat terugkeer in het eigen werk dan wel de eigen organisatie niet te verwachten valt, moet gekeken worden naar mogelijkheden buiten de organisatie. Dit wordt re-integratie in spoor twee genoemd. Spoor twee moet uiterlijk binnen zes weken na de eerstejaarsevaluatie worden ingezet. 

Re-integratie spoor één versus re-integratie spoor twee

In spoor twee houdt de werknemer altijd de mogelijkheid om terug te keren in het eigen werk of de eigen organisatie. Er kan ook een zogenaamd tweesporenbeleid worden gevoerd. Dit houdt in dat de werknemer blijft opbouwen in spoor één en daarnaast nog een spoor twee traject volgt. Zolang het dienstverband voortduurt, is de werkgever ook verplicht tot re-integratie in spoor één. Dit laatste gaat nu mogelijk veranderen, omdat minister Aartsen van Werk en Participatie dit heeft opgenomen in een wetsvoorstel. 

Uitsluitend inzet spoor twee

Het is met name voor kleine en middelgrote bedrijven moeilijk een langdurig zieke werknemer te laten re-integreren. Niet altijd is er binnen de organisatie passend, ander werk beschikbaar. Vervanging regelen voor een zieke medewerker is vaak ook lastig. Het kabinet wil deze bedrijven nu tegemoetkomen door in het tweede ziektejaar uitsluitend en alleen in te zetten op re-integratie in spoor twee. Dit betekent dat de werknemer na het eerste ziektejaar niet meer kan terugkeren in het eigen werk. Spoor één wordt daarmee definitief afgesloten. De functie van de werknemer hoeft dan niet langer beschikbaar te blijven voor de werknemer. 

De loondoorbetaling blijft het tweede jaar wel nog bestaan. Dit geldt ook voor de verantwoordelijkheid voor de re-integratie bij een andere werkgever (spoor twee).

Overeenstemming of vervangende toestemming UWV

Werkgever en werknemer moeten het hier wel gezamenlijk over eens worden. Stemt de werknemer hier niet mee in, dan kan de werkgever vervangende toestemming vragen aan het UWV. 
Uiterlijk op de dag dat de werknemer 42 weken ziek is kan een kleine of middelgrote werkgever een aanvraag doen bij UWV. Uitgangspunt is dat UWV binnen acht weken na indiening van de aanvraag een beslissing neemt. Bij afwijzing of toekenning van de aanvraag kan door de werkgever dan wel de werknemer nog een procedure bij de rechter worden gestart.

Focus op spoor twee in het tweede ziektejaar

De verplichting tot re-integratie in het eigen werk (spoor één) vervalt in het tweede ziektejaar. De werkgever kan zich in het tweede ziektejaar dan concentreren op re-integratie buiten de eigen organisatie (spoor twee). Minister Aartsen van Werk en Participatie heeft dit opgenomen in een wetsvoorstel.

Poortwachtertoets

Voor het einde van de 104 weken periode moet het UWV de poortwachtertoets uitvoeren. Bij deze toets, ook wel aangeduid als de RIV-toets (toetsing re-integratieverslag), bekijkt het UWV of de werkgever voldoende heeft gedaan aan re-integratie. Als de bedrijfsarts heeft aangegeven dat er sprake is van een situatie van geen benutbare mogelijkheden, kan de verzekeringsarts van het UWV daar anders over denken. In dat geval kan het UWV aan de werkgever een loonsanctie opleggen, waardoor de werkgever maximaal 52 weken langer het loon moet doorbetalen.

Advies bedrijfsarts leidend

Dit leidt tot onzekerheid voor werkgevers. Om dit weg te nemen én om verzekeringsartsen bij het UWV te ontlasten, is besloten dat het advies van de bedrijfsarts leidend wordt bij de poortwachtertoets. Er kan dan dus geen loonsanctie meer worden opgelegd bij verschil van inzicht tussen de verzekeringsarts en de bedrijfsarts. 

Kwijtschelding voorschotten

Als gevolg van de lange wachttijden voor de WIA-beoordeling, verstrekt het UWV voorschotten. De werknemer hoeft het voorschot niet terug te betalen, als bij de uiteindelijke WIA-beoordeling blijkt dat de werknemer geen recht had op een WIA-uitkering of op een uitkering van kortere duur. Dit betreft tijdelijk buitenwettelijk beleid. Het is bedoeld om te voorkomen dat werknemers te maken krijgen met forse terugvorderingen.

Het kabinet heeft besloten dit beleid in de wet vast te leggen. Ook wijzigt de financiering van de voorschotten. Deze worden in eerste instantie bekostigd uit het Arbeidsongeschiktheidsfonds (Aof) dat gevoed wordt door de basispremie WAO/WIA. Na de definitieve beoordeling worden de kosten op de juiste plek geboekt. Als een voorschot wordt kwijtgescholden, blijft dat ten laste komen van het Aof.

Wajong

Het wetsvoorstel bevat ook nog wat wijzigingen en verduidelijkingen van de Wajong. Mensen met een Wajong-uitkering die onafgebroken vijf jaar hebben gewerkt en voldoende inkomen verdienen, houden het recht op een uitkering als zij werken in een beschutte werkplek, met loondispensatie, loonkostensubsidie of interne jobcoach. Deze maatregel voert het UWV op verzoek van het kabinet al uit sinds 1 januari 2026. Verder vervalt het garantiebedrag als de Wajong-uitkering langer dan twaalf maanden is beëindigd. 

Let op!Het wetsvoorstel ligt bij de Raad van State voor advies.

Advies bedrijfsarts wordt leidend bij de poortwachtertoets

Het kabinet heeft besloten dat het advies van de bedrijfsarts leidend wordt bij de poortwachterstoets. Dit neemt onzekerheid bij de werkgever weg en ontlast verzekeringsartsen bij het UWV. Het wetsvoorstel ligt nu bij de Raad van State.

Urenuitbreiding en misbruik van recht

In de wetsgeschiedenis van de totstandkoming van de Wfw is stilgestaan bij situaties waarbij werknemers de uren van de urenuitbreiding in de praktijk niet gaan werken, maar daar wel meer salaris voor ontvangen. Een dergelijk geval zou misbruik van recht kunnen opleveren en in de wetsgeschiedenis is daarvoor een tweetal voorbeelden opgenomen. De eerste is een zieke werknemer die zijn recht op aanpassing van de arbeidsuren geldend wil maken in de periode van ziekte. Het andere voorbeeld is een zwangere werkneemster die kort voor het zwangerschapsverlof een verzoek om uitbreiding van de arbeidsuren doet met de bedoeling deze uitbreiding tijdens het verlof te laten starten. 

Urenuitbreiding voor ingangsdatum seniorenregeling

Hoe moet worden omgegaan met de situatie dat een werknemer een urenuitbreiding aanvraagt, voorafgaand aan de leeftijd waarop op grond van de toepasselijke cao de seniorenregeling geldt? 
In een aan de rechter voorgelegde casus ging het om parttime magazijnmedewerkers van een supermarktketen die, voordat ze een beroep konden doen op de seniorenregeling, vroegen om uitbreiding van hun contracturen. Een deel daarvan zou dan, conform de regeling roostervrije seniorendagen (RSD-regeling), direct roostervrije tijd zijn.

Misbruik van recht?

De werkgever was hier niet van gecharmeerd en was van oordeel dat hier sprake was van misbruik van recht. De werknemers vroegen een uitbreiding naar 40 uur per week. Voor een werkneemster gold dat zij voor de 16 uur dat zij per week meer ging werken, op grond van de RSD-regeling 3,5 uur verlof kreeg. Per saldo zou ze dan 12,5 uur per week meer moeten werken. Voor een andere werknemer gold dat hij voor de 8 uur per week dat hij meer ging werken, ook op grond van de RSD-regeling 3,5 uur verlof kreeg. Per saldo zou hij 5,5 uur per week meer moeten werken. Volgens de werkgever was de seniorenregeling hier niet voor bedoeld. 

Oordeel rechter: in dit geval geen misbruik van recht

De rechter stelde de werknemers echter in het gelijk. Hier was geen sprake van misbruik van recht.

Bij ziekte en zwangerschap mag een werkgever de urenuitbreiding afwijzen, maar in deze aan de rechter voorgelegde situatie gingen de werknemers wel degelijk extra werken, ook al was dat niet voor de volledige uren-uitbreiding. Bovendien verloren deze werknemers, door toepassing van de seniorenregeling, aan de andere kant enkele andere verlofrechten. Dit was naar het oordeel van de rechter ook een factor die van belang was. De werkgever werd daarom veroordeeld om de gevraagde urenuitbreiding toe te staan.

Let op!Bij een verzoek om urenuitbreiding dat alleen is gedaan vanwege het behalen van een financieel voordeel zonder dat er een werkprestatie tegenover staat, is afwijzing wel mogelijk.

Urenuitbreiding ondanks seniorenregeling toegestaan

Een werknemer kan op grond van de Wet flexibel werken, Wfw, een verzoek doen om urenaanpassing, zowel naar boven als naar beneden. Alleen als sprake is van een zwaarwegend bedrijfsbelang kan de verzochte urenuitbreiding of urenvermindering worden tegengehouden. Dit zal niet snel aan de orde zijn.

Hoger percentage

Het minimumjeugdloon geldt voor jongeren van 15 tot en met 20 jaar. Het is een leeftijdsafhankelijk percentage van het minimumloon van een werknemer van 21 jaar of ouder. Per 1 januari 2027 gaan de percentages voor jongeren in de leeftijd van 16 tot en met 20 jaar omhoog. Voor jongeren van 15 jaar geldt dit niet en blijft het percentage gehandhaafd op 30%.

BBL-studenten

Werknemers in de bbl in het middelbaar beroepsonderwijs van 18 tot en met 20 jaar krijgen op dit moment een lager percentage dan hun leeftijdgenoten die geen bbl volgen. Dit wijzigt met ingang van 2027. Het minimumjeugdloon voor studenten in de bbl wordt dan gelijkgetrokken met het reguliere minimumjeugdloon.

In de hierna volgende tabellen zijn het huidige minimum(jeugd)loon en de huidige en toekomstige percentages vanaf 1 januari 2027 opgenomen.

Let op!Het minimumloon wordt altijd per 1 januari en 1 juli geïndexeerd. De bedragen per 1 januari 2027 zullen dus ten opzichte van de huidige bedragen niet alleen verhoogd worden door de verhoging van het percentage maar ook door de indexatie per 1 juli 2026 en per 1 januari 2027.

Minimumjeugdloon per 2027 omhoog

Het minimumjeugdloon voor jongeren van 16 tot en met 20 jaar gaat per 1 januari 2027 omhoog. Werknemers in de beroepsbegeleidende leerweg (bbl) van 18 tot en met 20 jaar gaan vanaf die datum recht op hetzelfde minimumjeugdloon als leeftijdsgenoten die geen bbl volgen.

Maatregelen in verband met hoge energieprijzen

In verband met de hoge energieprijzen wil het kabinet de volgende maatregelen nemen:

  • Verhogen van de onbelaste reiskostenvergoeding van € 0,23 naar € 0,25 per kilometer. Deze verhoging gaat bij beleidsbesluit over ongeveer drie maanden in en heeft dan terugwerkende kracht vanaf 1 januari 2026. Let wel, dit betreft een mogelijkheid voor werkgevers om een hogere reiskostenvergoeding onbelast te geven. Het is dus geen verplichting.
  • Tijdelijk halveren van de motorrijtuigenbelasting (mrb) voor grijze kentekens (bestelauto’s voor ondernemers) voor de periode 1 juli 2026 tot en met 31 december 2026.
  • Tijdelijk verlagen van de mrb voor vrachtauto’s naar nul voor de periode 1 juli 2026 tot en met 31 december 2026.
  • Vrijmaken van:
    o € 40 miljoen in 2026 en € 155 miljoen in 2027 voor een Noodfonds Energie, waarmee de meest kwetsbare huishoudens met een hoge energierekening in de winter geholpen kunnen worden,
    o € 25 miljoen in 2026 voor energie-efficiëntieregelingen in de visserijsector,
    o € 25 miljoen in 2026 voor subsidies om gebruik van energie en kunstmest in land- en tuinbouw te verminderen.
  • Verlengen van de Garantie Ondernemingsfinanciering (GO) voor vijf jaar per 1 juli 2026 met een garantieplafond van € 300 miljoen.
  • Verhoging van het borgstellingsdeel in de Borgstelling MKB-krediet (BMKB) van 50% naar 75% voor de periode 1 juli 2026 tot 1 juli 2027.

Vermindering gebruik fossiele energie

Om Nederland minder afhankelijk te maken van fossiele energie wil het kabinet de volgende maatregelen nemen:

  • Verhogen van de Energie-investeringsaftrek (EIA) per 1 januari 2027 van 40% naar 45,5%.
  • Het invoeren van een inruilregeling in het vierde kwartaal 2026 waarbij huishoudens met een lager of middeninkomen een oude fossiele auto (emissieklasse 1 tot en met 4) kunnen laten slopen en met subsidie een elektrische tweedehandse auto kunnen aanschaffen (hiervoor is in 2026 € 2 miljoen, in 2027 € 30 miljoen en in 2028 € 20 miljoen vrijgemaakt).
  • Vrijmaken van:
    o € 180 miljoen extra in 2026 voor het Nationaal Warmtefonds waaruit woningeigenaren een lening kunnen krijgen om hun woning te verduurzamen,
    o € 40 miljoen in 2026 en € 40 miljoen in 2027 voor Energiefixers (professionals die langsgaan bij huishoudens om kleine- en middelgrote energiebesparende maatregelen te nemen),
    o € 25 miljoen in 2027 voor verduurzamingsubsidies voor VvE’s,
    o € 5 miljoen per jaar in de jaren 2026, 2027 en 2028 voor het Nationaal Programma Leefbaarheid en Veiligheid waarmee huishoudens in energiearmoede ontzorgd worden bij het financieren van de verduurzaming van hun koopwoning,
    o € 23 miljoen in 2027 en € 8 miljoen in 2028 voor duurzaamheidsleningen voor het mkb via Qredits en een uitbreiding van het ontzorgingsprogramma op dit terrein.

Dekking

Om de kosten van deze maatregelen te dekken wil het kabinet onder meer:

  • De startersaftrek zonder overgangsrecht per 1 januari 2027 afschaffen.
  • Het maximale investeringsbedrag in de kleinschaligheidsinvesteringsaftrek (KIA) per 1 januari 2027 verlagen door het afbouwpercentage aan te passen en het plateau van investeringsbedragen in te korten.
  • De alcoholaccijns vanaf 2027 indexeren.

Let op! Het kabinet houdt rekening met een verdere verslechtering van de situatie. Het kabinet heeft zich daarop voorbereid door verschillende scenario’s uit te werken

Het kabinet wil voor bijna een miljard euro aan maatregelen nemen voor ondernemers en huishoudens om tegemoet te komen aan de economische gevolgen van de onrust in het Midden-Oosten.

Meer duidelijkheid en rust op korte termijn

Het kabinet wil de zelfstandigen op korte termijn meer duidelijkheid en rust te geven door middel van een aantal maatregelen.

Schrappen verduidelijkingsdeel Wet Vbar

Door het schrappen van het verduidelijkingsdeel uit de Wet Vbar wil het kabinet rust op de markt brengen en de onduidelijkheid wegnemen. Het toetsingskader dat is gebaseerd op actuele rechtspraak zal gepubliceerd worden op www.hetjuistecontract.nl om de duidelijkheid daarover verder te vergroten.

Invoering rechtsvermoeden arbeidsovereenkomst

Het kabinet wil een rechtsvermoeden van een arbeidsovereenkomst invoeren bij een uurtarief onder € 38. Als een werkende minder verdient dan dit bedrag, dan wordt hij geacht dit op basis van een arbeidsovereenkomst te doen. Op die manier wordt bescherming gegeven aan een kwetsbare groep werkenden. Het streven is dit rechtsvermoeden uiterlijk op 31 augustus 2026 in het Staatsblad te publiceren.

Communicatiecampagne: zo kan zzp wél

Het kabinet zet in op een communicatiecampagne: zo kan zzp wél. Hierbij worden opdrachtgevers gewezen op de punten waar ze op moeten letten bij een overeenkomst van opdracht en opdrachtnemers waar zij rekening mee moeten houden bij het aangaan van een arbeidsrelatie. Het kabinet wil daarbij benadrukken dat wanneer géén sprake is van een werknemer, er wél met en als zelfstandige gewerkt kan worden. De bedoeling is om nog voor de zomer met de communicatiecampagne te starten.

Extern ondernemerschap weegt volwaardig mee

De minister verwijst in zijn brief ook naar het antwoord op prejudiciële vragen door de Hoge Raad in de Uber-zaak op 21 februari 2025, en de vervolg-uitspraak van gerechtshof Amsterdam van 27 januari 2026. Daarin is uitgemaakt dat er geen rangorde bestaat tussen de punten uit de Deliveroo-uitspraak die moeten worden meegewogen bij de vraag of sprake is van een arbeidsovereenkomst of niet. Daarbij wordt onder meer gekeken naar ondernemerschap van de werkende buiten de specifieke arbeidsrelatie (‘extern ondernemerschap’).

Actualisatie webmodule en leidraad

De webmodule beoordeling arbeidsrelatie zal worden aangepast door de rol van extern ondernemerschap duidelijk te benoemen bij de startpagina. Ook de leidraad die binnen de Rijksoverheid wordt gebruikt wordt herzien op basis van de meest recente rechtspraak. Er wordt binnen afzienbare termijn een hierop gebaseerd beslis- en afwegingskader gepubliceerd op de websites van de Belastingdienst en hetjuistecontract.nl.

Overheid geeft goede voorbeeld

Om draagvlak te creëren dient de overheid het goede voorbeeld te geven. Het streven is daarom de schijnzelfstandigheid naar nul te brengen en niet onnodig categorisch zzp’ers uit te sluiten. 
Erkenning zelfstandige en schijnzelfstandigheid tegengaan

Het kabinet wil verder de zelfstandige erkennen en schijnzelfstandigheid tegengaan door middel van onder meer de nieuwe Zelfstandigenwet.

Nieuwe Zelfstandigenwet

Het kabinet wil zo snel mogelijk aan de slag met een Zelfstandigenwet, zodat zelfstandigen de erkenning krijgen die ze verdienen. Het eerder ter internetconsultatie voorgelegde initiatiefwetsvoorstel zal als basis dienen. Voor de zomer zal de Tweede Kamer over de vervolgstappen worden geïnformeerd.

Geen zigzagbeleid: handhaving blijft nodig

Het kabinet blijft handhaven op schijnzelfstandigheid, met oog voor de menselijke maat. Ook op de lange termijn. De handhaving heeft de bewustwording over wet- en regelgeving vergroot. 
Naar een gelijker speelveld: goede vertegenwoordiging in de polder

De afgelopen jaren is er meer aandacht geweest voor de vertegenwoordiging van zelfstandigen in diverse overleggen, zoals binnen de Sociaal-Economische Raad (SER). Dit heeft tot gevolg gehad dat het perspectief van zelfstandigen meer wordt meegewogen in beleidsvorming.

Kabinet geeft meer duidelijkheid over omgang met zzp’ers

Minister Thierry Aartsen van Werk en Participatie heeft de Tweede Kamer op 9 april 2026 geïnformeerd over een "zzp-koers van meer rust en duidelijkheid”. Wat betekent dat?

MB+-procedure

In de MB+-procedure staat de vraag centraal of mensen die niet of te laat bezwaar maakten tegen box 3, toch hun box 3-inkomen over de jaren 2017 tot en met 2020 mogen berekenen op basis van werkelijk rendement.

De Hoge Raad oordeelde in mei 2022 al dat deze mensen dat niet mogen omdat zij niet of te laat bezwaar indienden. De koepel- en belangenorganisaties (Bond voor Belastingbetalers, Consumentenbond, NBA, NOB, RB en SRA) menen dat in de uitspraak van de Hoge Raad nog niet met alles rekening is gehouden. Daar gaat de MB+-procedure over.

Let op!In de brief die u ontvangt van de Belastingdienst staat dat uw bezwaar te laat was en dat u daarom onder de MB+-procedure valt.

Vier proefprocedures

In de MB+-procedure zijn proefprocedures gevoerd voor vier rechtbanken. De rechtbanken hebben inmiddels allemaal de Hoge Raad gevolgd. De groep niet (of te laat)-bezwaarmakers heeft dus ook volgens de rechtbanken geen recht op berekening van het box 3-inkomen over de jaren 2017 tot en met 2020 op basis van werkelijk rendement.

Let op!Twee procedures zijn inmiddels in behandeling bij de Hoge Raad. In afwachting van het oordeel van de Hoge Raad, hoeft u geen nadere actie te ondernemen.

Maakt u voor de jaren 2017 tot en met 2020 bezwaar tegen box 3, maar was dit bezwaar te laat? Dan ontvangt u in de week van 13 april 2025 een brief van de Belastingdienst over de massaalbezwaarplusprocedure (MB+-procedure) box 3.

Please note! Due to significant uncertainty as to whether the government’s plans will be approved by the House of Representatives and the Senate, some of the tips below may still change (in part) before the end of the year. Please bear this in mind!

1. Should you pay a dividend in 2026, or not?

Should you pay a dividend this year, or would it be better to wait until 2026? There is no one-size-fits-all answer to this question. In any case, be sure to take the following points into consideration:

  • It may be wise to set a dividend equal to the first tax bracket of 24.5 per cent. In 2026, this bracket extends up to €68,843 and, if you have a tax partner, up to €137,686. Above that threshold, the rate is 31 per cent.
  • Bear in mind, however, that the dividend payment may cause your general tax credit to fall further. As a result, the dividend payment may be less attractive than anticipated. If you are no longer entitled to the general tax credit anyway, this effect will not apply. Please discuss this with our advisers. You should also do so if you have already reached state pension age, due to the potential impact of the dividend payment on the elderly tax credit.
  • The government has proposed a plan to reduce the second tax bracket of 31% by 1.8 percentage points to 29.2% in the years 2027 to 2030 inclusive. This may be a reason to defer any dividend exceeding the first tax bracket of €68,843/€137,686 until 2027. Given that the first tax bracket of 24.5 per cent – which is likely to rise to €69,607 in 2027 (or €139,214 for tax partners) – will be reached first, deferring this dividend until 2027 seems a more sensible option in any case.
  • Whether it is sensible to pay out a dividend in 2026 will also depend on how the proceeds are to be used. Will you spend the 2026 dividend, or will it fall straight into Box 3 at the start of 2027? The latter scenario makes the dividend payment at 24.5% slightly less favourable.
  • If the dividend payment is necessary to reduce an excessive loan balance to below the threshold for excessive borrowing, then the dividend will have to be paid out in 2026 in any case.

Please note! Discuss your own situation with our advisers. They can calculate the effect of the dividend payment on, for example, your tax credits and your tax liability in Box 3. Based on this, you can decide whether or not to pay out a dividend. At present, the advice is to wait for the time being until there is a little more clarity on which tax plans will ultimately be passed by the House of Representatives and the Senate.

2. Bear in mind the reduction in the threshold for excessive borrowing

The measure concerning excessive borrowing from one’s own company broadly means that a director and major shareholder who borrows too much from their own private limited company will pay Box 2 tax on this amount. A threshold of €500,000 currently applies, but the government intends to lower this limit to €100,000. This will be implemented in five stages of €80,000 per year, starting in 2027. By the end of 2027, the threshold will stand at €420,000, and by the end of 2031, the €100,000 limit will have been reached. Although the measure still needs to be passed by the House of Representatives and the Senate, it may well be wise to factor the reduction in the threshold into your dividend planning.

Please note! As is currently the case, home loan debts remain exempt under the proposal and will therefore not count towards the threshold from 2027 onwards. However, for home loan debts incurred on or after 1 January 2023, the condition applies that these must be secured by a mortgage registered against the property.

3. Prepare for the 12% additional employer’s levy on company-owned fossil-fuel cars

From 2027, a 12% pseudo-final levy will apply to company cars if these vehicles emit CO₂ (hereinafter: fossil-fuelled company cars). This levy is calculated on the basis of the car’s list price (and, for cars older than 25 years, on the basis of its market value). This is an employer’s levy that you are not permitted to pass on to the employee! Furthermore, the employee may also be liable for the additional tax liability relating to private use.

So what can you still do now to avoid this levy in 2027?

  • Ensure that the fossil-fuelled passenger car is already made available to an employee by 31 December 2026. You will then not have to pay the 12% pseudo-final levy on this car until 31 December 2030, even if you make the car available to another employee.
  • Ensure that the passenger cars you make available to your staff are fully electric or hydrogen-powered. These passenger cars do not emit any CO₂. The 12% pseudo-final levy therefore does not apply to these cars.

Any vehicle that is not a passenger car, such as a van, lorry or tractor, is also exempt from the 12% pseudo-final levy. Please note, however, that a campervan and a minibus may also be classified as passenger cars. Check the classification in the vehicle registration register. An M1 vehicle is a passenger car!

Please note! When changing employers, the transitional arrangement – which normally runs until 31 December 2030 – ceases to apply. This is because the transitional arrangement is linked to the car in combination with the employer. If a former employee takes the car with them to a new employer, that link is broken and the transitional arrangement lapses. The new employer will then be subject to the 12% pseudo-final levy from day one.

There are still a number of exceptions to the 12% pseudo-final levy. For example, under certain conditions, a replacement car is exempt from the levy for up to fourteen consecutive days, and manual-gearbox driving school cars are also exempt.

4. Still in the private limited company in 2026?

There may be various reasons for setting up a private limited company in 2026 and transferring your income tax business into it. One reason could be that you were already planning to do this and also wish to transfer a fossil-fuelled passenger car into the company:

  •  If you do this in 2026 and make the car available through the private limited company by the end of 2026 at the latest, you can benefit from the transitional arrangements until 31 December 2030 at the latest. You will not be subject to the 12% pseudo-final levy until then.
  • If you do not set up the private limited company until 2027, the 12% pseudo-final levy will apply from day one of the company’s incorporation. This is the case even if, for income tax and corporation tax purposes, you can transfer the sole trader business retroactively from 1 January 2026 via a silent transfer!

If you contribute the income tax business to the private limited company in 2026 with a tax settlement, you can still benefit from the cessation allowance of €3,630. In 2027, this allowance will fall to €908. If you still have a FOR that is due to be released, you can also make use of the cessation allowance in the event of a silent contribution.

Furthermore, a number of the entrepreneur’s income tax benefits will be further scaled back. For example, the self-employed person’s allowance will fall from €1,200 in 2026 to €900 in 2027; the additional self-employed person’s allowance for a start-up will fall from €2,123 in 2026 to €10 in 2027; and the family business allowance will be reduced by 75% in 2027.

This may also be a reason to switch to a private limited company (BV) in 2026.

Please note! Whether it is advantageous to transfer your income tax-registered business into a private limited company naturally depends not only on the 12% pseudo-final levy, the cessation allowance and other business tax deductions. In addition to tax considerations, other factors, such as limited liability, may also play a role. You should therefore consult our advisers to determine whether switching to a private limited company might be advisable. Do not wait too long to do so. You will need a solicitor to set up a private limited company, and solicitors’ diaries generally fill up quickly towards the end of the year.

5. Check whether the new authorisation scheme for labour providers affects you

From 2027, a new authorisation scheme will come into force for parties that supply workers (labour providers). This is regulated by the Labour Supply Authorisation Act (Wtta).

The licensing scheme applies to anyone who makes workers (including self-employed persons) available to third parties. This includes temporary employment agencies, secondment agencies and agencies that supply self-employed persons. However, even a private limited company that supplies its director-major shareholder to another company may fall under the licensing scheme!

Fortunately, there are exceptions. For example, peer-to-peer lending where no profit is made is not subject to the authorisation scheme. The same applies to lending and borrowing within a group of companies.

If no exception applies, you may be able to apply for an exemption. This is possible if your income from lending services in a given year amounts to less than 10 per cent of your total income and that income does not exceed €5 million per year. In addition, an accountant must certify annually that these thresholds are not exceeded.

Please note! To be able to make use of a transitional arrangement, it is important that you submit an application between 1 November 2026 and 31 December 2026! This will ensure that you can continue to lend for the time being. It is, however, important that you also submit an application for admission to the scheme between 1 May 2027 and 30 June 2027. If you have an SNA quality mark by 30 June 2027 at the latest, you do not need to register for the transitional scheme in 2026. You will, however, still need to apply for admission between 1 May 2027 and 30 June 2027.

6. Postpone the purchase of a Box 3 property until 2027

A property that is not your main residence – for example, a holiday home or a property you let out – falls under Box 3. If you are planning to purchase such a property, it may be advantageous to have the transfer at the solicitor’s take place in 2027 rather than in 2026.

This is because the transfer tax on the acquisition of properties that are not your main residence is currently still 8 per cent, but will be 7 per cent from 2027 onwards. Furthermore, the flat-rate Box 3 tax on bank balances (should you purchase the property using bank balances) is considerably lower than that applied to the property itself, which is classified as other assets.

7. Consider your (electric or old) car

For a new, fully electric car made available in 2026, an additional tax liability of 18 per cent applies to the first €30,000 of the list price and 22 per cent on the amount above that. If the new, fully electric car is first made available in 2027, the additional tax liability will be 20 per cent on the first €30,000 of the list price and 22 per cent on the amount above that. If the car runs on hydrogen or is powered by solar panels, the €30,000 limit does not apply and the additional tax liability in 2026 will be 18 per cent of the full list price, and in 2027 20 per cent of the full list price. These additional tax rates apply for a period of 60 months. This may be a reason to try to acquire a car with zero CO₂ emissions in 2026, or failing that, in 2027.

If your car with CO₂ emissions falls under the ‘youngtimer’ scheme, the additional tax liability will not be 22 per cent (or 25 per cent for a car first registered before 2017) of the list price, but 35 per cent of the market value. The ‘youngtimer’ scheme will apply in 2026 if the car is 16 years old or older on 1 January 2026, or if it was already at your disposal in 2025 and turns 16 in 2026. From 1 January 2027, the age limit is likely to rise to 17 years (it is currently 25 years) and from 1 January 2028 to 20 years. Do you drive the ‘youngtimer’ through your income tax business, such as a sole trader? If so, you may wish to transfer the car to your private name. Normally, this isn’t possible without further ado, but due to the legislative change, there may be options available. Please discuss this with our advisers.

8. Make use of your allowance under the work-related expenses scheme (wkr)

Check whether you have any remaining allowance under the work-related expenses scheme (wkr) and make use of it. In 2026, this allowance amounts to 2 per cent of the first €400,000 of the wage bill and 1.18 per cent above that amount. Any allowance remaining in 2026 cannot be carried forward to 2027!

Incidentally, the allowance will increase slightly in 2027. It will then amount to 2.16% on the first €400,000 of the wage bill and 1.18% on the amount above that.

Please note! The targeted exemption for staff discounts on sector-specific products will be abolished from 2027. Therefore, only in 2026 will you still be able to grant a targeted exemption for a reimbursement or discount of up to 20 per cent of the product’s market value, with a maximum of €500 per employee per year.

9. Ensure you comply with the new share option scheme for start-ups and scale-ups

A new, attractive scheme for share options at start-ups and scale-ups is due to come into force, probably from 2027. Under the new scheme, 35% of the benefit (= the difference between the proceeds from the sale of the shares on the one hand and the contribution and purchase price of the shares on the other) remains tax-free. Furthermore, the employee only pays tax upon the sale of the shares acquired through the share options.

Various conditions apply, and the Netherlands Enterprise Agency (RVO) must classify your company as an innovative start-up or scale-up. What is important for now is that share option rights granted on or after 17 April 2025 may be eligible for the new scheme. It is therefore important that these share option rights have not yet been included in payroll tax as at 31 December 2026. In any case, ensure that share option rights granted on or after 17 April 2025 meet this requirement.

Year-end tips: what can or must you still sort out in 2026?

As an entrepreneur, director and major shareholder, employer or private individual in the Netherlands, what can or must you sort out before the end of 2026? Or what should you actually wait to do? What changes are coming into effect in 2027 that you can already prepare for now? We’ve put together a few important tips for you.

Please note! Not all the points listed below are taken from the 2027 Tax Plan. Some changes had already been decided upon, but adjustments have since been made to them.

1. Fewer tax benefits for entrepreneurs

From 2027, the government will be scaling back various tax benefits for entrepreneurs.

The entrepreneur’s allowance reduces the profit on which an entrepreneur pays income tax. From 2027, further cuts will apply to various components of this allowance.

  • The self-employed person’s allowance will fall from €1,200 (2026) to €900. As a result, the taxable profit of entrepreneurs who meet the hours criterion will increase.
  • The start-up allowance will also be significantly reduced. This top-up to the self-employed person’s allowance for start-up entrepreneurs will fall from €2,123 (2026) to €10 with effect from 1 January 2027 and will be completely abolished with effect from 1 January 2028.
  • The start-up allowance will remain in place in 2027 and 2028, but will be abolished from 1 January 2029. The current maximum amounts are €12,000 in the first year, €8,000 in the second year and €4,000 in the third year.

Please note! This scheme applies to self-employed people who do not meet the 1,225-hour criterion but do meet the reduced 800-hour criterion and are entitled to incapacity benefit.

  • The cessation allowance will be reduced in one go from a maximum of €3,630 to €908.
  • The rates for the co-worker allowance will be reduced from 1.25%, 2%, 3% and 4% to 0.32%, 0.5%, 0.75% and 1% respectively.

The cessation allowance and the rates for the co-worker allowance will cease to apply at the start of the third calendar year following the year in which the reduction takes effect. As the changes come into force in 2027, the schemes will therefore cease to apply on 1 January 2030.

As of 1 January 2028, another tax benefit for business owners will be abolished: the discretionary depreciation scheme for start-ups.

Start-up business owners, those planning to cease trading within a few years, and business owners with a co-working partner will be particularly affected. The choice between a sole trader, a general partnership (VOF) or a private limited company (BV) therefore once again requires a calculation based on actual profits and personal circumstances.

Please note!If there are significant changes to your profits, business partnerships or business succession, have a fresh assessment carried out to determine which legal form is best suited to your business.


Tip! Due to the higher aggregate income, benefits may also change. You should therefore check your estimated income for benefit purposes in good time for 2027 and 2028.

2. Greater scope for travel expenses; tightening of the WKR

Employers may, with retroactive effect up to and including 1 January 2026, reimburse a maximum of €0.25 per business kilometre tax-free. This was previously €0.23. The increase also applies to commuting. The government is now enshrining this increase in law with retroactive effect.

Please note!The increase does not automatically mean that every employee is entitled to €0.25 per kilometre. This depends on the employment contract, the collective labour agreement and the employer’s own mobility policy. For employers, a higher allowance may lead to higher wage costs.


This relaxation is offset by a tightening of the work-related expenses scheme (WKR). The targeted exemption for sector-specific products is being abolished. Until now, employers were permitted to grant employees a 20 per cent staff discount, tax-free, on the market value of the product, up to a maximum of €500 per year. This exemption is being abolished. From 2027, however, the discount may still be charged to the ‘free space’. If you exceed the free space, you will pay 80 per cent final levy on the amount above that threshold.

The discretionary allowance on the first €400,000 of the taxable wage bill will increase from 2% to 2.16% with effect from 1 January 2027. This will give you a maximum of €640 extra discretionary allowance per year. This increase was adopted earlier and is therefore not part of the 2027 Tax Plan.

Tip! Update your staff handbook, expense claim policy and payroll administration in good time, and assess whether a higher mileage allowance is desirable from both a financial and employment conditions perspective. Does your organisation offer staff discounts on sector-specific products? If so, consider what the end of this exemption will mean. This will mainly affect the retail and manufacturing sectors.

3. Driving fossil-fuelled vehicles to become more expensive; ‘youngtimer’ scheme limit extended to 20 years

If, as an employer, you make a passenger car with emissions available to an employee for private use from 2027 onwards, you will be subject to a pseudo-final levy of 12 per cent of the list price. This levy is in addition to the employee’s additional tax liability and must not be passed on to the employee. Transitional provisions apply to cars made available before 1 January 2027.

The pseudo-final levy was already adopted last year, but following consultation, four amendments are being proposed.

  • For example, the levy does not apply to replacement transport during the first fourteen calendar days of maintenance or repair.
  • Manual-gear driving school cars are also exempt.
  • Until 31 December 2030, an exemption also applies to a fossil-fuel-powered passenger car that an employer makes available for private use no more than once per calendar year for a maximum of seven consecutive days. For example, in the case of a short-term hire car or a shared car.
  • Finally, the transitional rules for fossil-fuelled passenger cars made available before 1 January 2027 will be extended until 31 December 2030.

The ‘youngtimer’ scheme will be scaled back more gradually than previously stipulated, and the changes will be less far-reaching. The additional tax liability will continue to be based on the market value, but the age limit will rise from 16 years to 17 years in 2027 and to 20 years from 2028 onwards. The previously planned rapid increase to 25 years from 2027 will therefore not go ahead.

Transitional provisions apply to cars that have already been made available by 31 December 2025 at the latest and which will be 17 years old in 2027. These cars may continue to benefit from the youngtimer scheme throughout 2027. From 1 January 2028, the scheme will only apply to cars older than 20 years.

For employers, the decision to provide a company car is becoming increasingly important, particularly due to the ‘pseudo-final levy’. The contract term, drive type and the date on which a car is first made available can have significant tax implications. As a result, an existing lease plan may turn out to be much more expensive or, conversely, much more attractive.

Tip! Before making any new leasing decisions, carefully assess the total employer costs, the employee’s additional tax liability, the lease term and the transitional tax rules.

4. A lower inflation adjustment increases the tax burden in Box 1

Normally, the thresholds for tax bands and various tax credits in Box 1 rise in line with inflation. This means that the tax burden normally remains the same as income rises, in line with inflation.
In 2027 and 2028, the government will apply the inflation adjustment only partially. Without this measure, the inflation adjustment for 2027 would amount to 2.6 per cent. Of this, 48 per cent will be applied. As a result, tax band thresholds and tax credits will rise less in line with inflation. Incidentally, the 48 per cent is not applied to the second tax bracket threshold, which therefore remains the same in 2027 as in 2026. The first tax bracket threshold rises from €38,883 to €39,247. The second tax bracket threshold remains at €78,426.

At the same time, the Box 1 rates are changing. For taxpayers under the state pension age, the rate in the first tax bracket will rise by 0.48 per cent: from 35.75 per cent in 2026 to 36.23 per cent in 2027. The rate in the second tax bracket will rise by 0.60 per cent: from 37.56 per cent to 38.16 per cent. The rate in the third tax bracket remains at 49.50 per cent.

Due to the increase in rates and limited indexation, the tax burden in Box 1 will rise. This effect is mitigated for homeowners who can also deduct their mortgage interest at the higher rate of up to 38.16%.

Please note! Always assess your salary, dividends and profits in conjunction with one another. The tax burden may in fact be unexpectedly higher, as the general tax credit depends on your aggregate income. This may therefore also fall as a result of a dividend payment.

5. Postponement of Box 3

Box 3 taxes private assets, such as savings, investments and a second home. Under the current system, the tax authorities calculate the return largely using flat-rate figures. If your actual return is lower, you can provide evidence to the contrary, subject to certain conditions.

The Government has provisionally deferred consideration of the ‘Actual Return on Box 3’ Bill. It will present a new proposal in the 2027 Spring Memorandum. Consequently, the intended introduction on 1 January 2028 will not take place, or at the very least, this date remains uncertain. The Government is re-examining whether a capital gains tax would be more appropriate than a capital appreciation tax.

Under a capital appreciation tax, even an unrealised increase in value is taken into account annually. Under a capital gains tax, tax is only levied upon, for example, the sale of an asset. For entrepreneurs and directors/major shareholders with investments, let property or other assets that are difficult to sell, this makes a significant difference.

Please note!Until a new system comes into force, it remains important to keep accurate records of interest, dividends, rent, costs and changes in value. This information is required for the rebuttal scheme and for weighing up whether to invest privately or through a private limited company.


Tip! Do not wait for the new system. Record the actual return on each asset annually and retain the supporting documents.

6. Greater support for innovation and sustainability

The government is making various tax schemes for investment and innovation more attractive. For example, the energy investment allowance will rise from 40% to 45.5% with effect from 1 January 2027. Are you investing in qualifying energy-efficient business assets? If so, you’ll be able to deduct a larger portion of your investment from your profits.

The tax relief for research and development work is also being extended. The flat-rate hourly wage will rise from €29 to €33. This scheme reduces the payroll tax you, as an employer, pay when your employees are working on technically new products, processes or software.

Does your business make use of the innovation box? This scheme is also being made more attractive. From 1 January 2027, the maximum flat-rate amount will rise from €25,000 to €100,000 per year. The flat rate remains capped at 25% of profit. The current three-year application period will also remain unchanged. This allows you to have a larger proportion of your profit taxed at the lower Innovation Box rate.

Tip! Do you wish to make use of the energy investment allowance? Before entering into any commitments, check whether the business asset is included on the energy list. Then submit your application to RVO within the applicable three-month deadline.

7. Tax incentive for start-ups and scale-ups

To stimulate innovation and growth in specific young enterprises, the government is introducing an attractive tax scheme for employee share options at start-ups and scale-ups.

In principle, the employee pays tax when they actually sell the shares acquired through the options. After deducting the exercise price attributable to the shares, only 65 per cent of the benefit is taxed as income, subject to certain conditions. If the employee sells the share option right rather than the shares themselves, this lower tax base does not apply. The employee may also opt in writing for earlier taxation at the time the option right is exercised or as soon as the shares become tradable.

The scheme applies only to companies that qualify as start-ups or scale-ups and hold a decision from RVO. This decision is valid for eight years from the date of issue. Subject to certain conditions, you may extend the decision in five-year increments, up to a maximum total duration of 23 years. In addition, in principle, there must be a minimum period of two years between the grant of the share option and the sale of that option or the shares resulting from it. If the employee sells earlier due to a sale following the company’s initial public offering (IPO), an exception applies and the rule does apply.

The scheme is due to come into force on 1 January 2027. The definitive date of entry into force will be determined by Royal Decree. Share option rights granted on or after 17 April 2025 may also be eligible for the scheme. For this to apply, the share option rights must not yet have been included in payroll tax as at 31 December 2026, and the other conditions must be met. In that case, your company must apply to the RVO for the decision by 31 December 2027 at the latest.

Tip! Check in good time whether your company is eligible for an RVO decision. Also consider whether employee participation can help you attract, reward and retain talent.

8. Higher Aof contribution due to the ‘freedom contribution’

Employers must also pay a so-called ‘freedom contribution’ to fund rising defence expenditure. The government intends to collect most of this additional burden through an increase in the contribution to the Disability Fund (Aof). According to estimates, this increase will generate €1.5 billion in additional contribution revenue in 2027. From 2028 onwards, this will amount to €1.7 billion per year on a structural basis.

The high and low Aof contribution rates have not yet been finalised. The contribution rates will be announced at a later date, alongside the annual contribution rates for employees’ insurance schemes. As a result, it is not yet clear exactly how much your employer’s contributions will increase.

Tip! Allow for higher employer’s contributions in your 2027 staff budget. Adjust your payroll cost calculations as soon as the high and low AOF contribution rates for 2027 have been officially set.

9. Transfer tax on investment properties rises to 7%

Are you buying a property in which you will not be living yourself on a long-term basis? If so, you will pay transfer tax at the standard residential rate. This applies, for example, to a let property or a holiday home. From 1 January 2027, this rate will fall from 8% to 7%. The 2% rate for a property in which you will be living yourself and the first-time buyer’s exemption remain unchanged.

Please note! This reduction does not apply to commercial premises. In the case of mixed-use properties, conversions and property development projects, there may be some debate as to which part qualifies as a residential property. The use and condition of the property at the time of acquisition play an important role in this regard.

Due to the rate reduction, it may be worth reconsidering the timing of the transaction. You should also take other factors into account, such as financing, return on investment, VAT and the legal structure.

Tip! Before signing the purchase agreement, have an assessment carried out to determine which rate applies to your situation. In doing so, investigate whether it is sensible and feasible to postpone the transfer of title at the solicitor’s office until after 1 January 2027.

10. Tax relief on specific healthcare costs to end in 2028

Certain non-reimbursed healthcare costs are currently tax-deductible under specific conditions. These include specific medicines, medical aids, dietary costs, transport and additional family care. The relief only applies after any reimbursements and an income-related threshold have been taken into account.

The Government is abolishing the deduction for specific healthcare costs with effect from 1 January 2028. The associated scheme for reimbursement of specific healthcare costs, the TSZ scheme, will also be abolished. For people with a chronic illness, the Government is working on a targeted compensation scheme. The bill does not include any transitional provisions. The measure primarily affects people with a chronic illness, a disability or structurally high, non-reimbursed healthcare costs. Entrepreneurs and directors/major shareholders may also face higher net personal tax liabilities as a result. The financial impact varies greatly, as not every out-of-pocket healthcare expense is currently tax-deductible.

Tip! Make a list of your recurring deductible healthcare costs. This will show which tax benefits may be lost from 2028 onwards and to what extent a future compensation scheme will cover them.

Entrepreneur’s allowance 

The entrepreneur’s allowance comprises the self-employed person’s allowance (in Dutch: zelfstandigenaftrek), the allowance for research and development (in Dutch: aftrek voor speur- en ontwikkelingswerk), the co-worker’s allowance (in Dutch: meewerkaftrek), the start-up allowance in the event of incapacity for work (in Dutch: startersaftrek bij arbeidsongeschiktheid), and the cessation allowance (in Dutch: stakingsaftrek). These allowances may be deducted from business profits for the purposes of income tax. 

Foreign taxpayers 

Foreign taxpayers are taxed in the Netherlands to the extent that they receive Dutch income. Dutch income includes, amongst other things, the profit generated by a foreign entrepreneur’s permanent establishment in the Netherlands. The question is whether the entrepreneur’s allowance may be deducted in full from the profit of this permanent establishment or whether a different allocation must be made?  

Worldwide profit is the starting point 

For the portion of the foreign entrepreneur’s profit that is taxable in the Netherlands, the letter of the law first requires the global profit to be determined, i.e. the foreign entrepreneur’s total profit, including profit earned outside the Netherlands. The Tax and Customs Administration states that the entrepreneur’s allowance and the SME profit exemption (in Dutch: mkb-winstvrijstelling)are deducted in full from these worldwide profits. The profit taxable in the Netherlands is that part of the worldwide profit, after deduction of the entrepreneur’s allowance and the SME profit exemption, which is attributable to the Dutch permanent establishment.  

The business allowance is therefore not deducted in full from the profits of the permanent establishment, but in proportion to the ratio of Dutch profits to total worldwide profits.

SME profit exemption 

The Tax and Customs Administration states that the portion of the SME profit exemption that may be charged against the profit taxable in the Netherlands must be determined in the same way as for the entrepreneur’s allowance. 

Please note! According to the Tax and Customs Administration, the fact that the entrepreneur’s allowance and the SME profit exemption must be determined in the manner described above also follows from a 2010 ruling by the Supreme Court (in Dutch: Hoge Raad).

Eight weeks 

In principle, the Tax and Customs Administration has eight weeks to process your VAT refund claim. If this takes longer, you are entitled to compensation for tax interest provided that the VAT refund relates to a previous year and 1 April has already passed. 

Example 
The Tax and Customs Administration receives your request for a VAT refund for the fourth quarter of 2025 on 20 January 2026. If you have not yet received a refund decision from the Tax and Customs Administration by 1 April 2026, you are entitled to compensation for tax interest from 1 April 2026. 

Calculation of tax interest 

The period over which tax interest is calculated begins on 1 April or eight weeks after receipt of your claim (if this is later than 1 April). The period runs until fourteen days after the date of the refund decision. 

Continuation of example 
If the Tax and Customs Administration issues a refund decision dated 15 June 2026, it must reimburse 5% tax interest for the period from 1 April 2026 up to and including 29 June 2026. 

Timely appeal against the rejection of a VAT refund claim 

Has the Tax and Customs Administration wrongly rejected your VAT refund claim? If so, you must lodge an objection in good time, i.e. within six weeks of the date of the rejection notice. If the Tax and Customs Administration subsequently grants the VAT refund, you are also entitled to reimbursement of tax interest. 

Please note! In response to enquiries on this matter, the Tax and Customs Administration has stated that there is no entitlement to reimbursement of tax interest if the original application for a VAT refund was submitted too late and/or if the appeal against the rejection notice was lodged too late.

Right of access to tax records 

It is laid down in law that taxpayers have the right to inspect their own tax files held by the Tax and Customs Administration. In the letter, the State Secretary sets out how the implementation of this right of access to tax files will take shape in the coming years, what the intended timetable is and what exceptions will be made to the right of access.  

Fragmented 

At present, the Tax and Customs Administration does not yet have a centralised file system: the information in the tax file remains highly fragmented across dozens of unlinked systems. To facilitate the right of access to tax files, the Tax and Customs Administration will therefore need to implement a change in its working methods. The aim is to achieve a structured, externally oriented and accessible filing system, according to the State Secretary. The documents in the tax file will be made available digitally in stages over the coming years. 

‘Keuze digitaal’ programme 

Under the ‘Keuze digitaal’ programme currently being implemented within the Tax and Customs Administration, decisions, invitations, reminders and submitted documents will gradually become available on MijnBelastingdienst (Business) by 2030. This will later be expanded to include standard letters and automated messages, followed by information from individual files, for example regarding the processing of a tax return. 

 Timeline 

The letter also sets out a provisional timetable, which includes the planned introduction of the right of access to tax records:  

  • Phase 1 covers access to formal correspondence, such as tax assessments, decisions, formal letters and submitted forms. The plan is to introduce this for VAT in 2026, for vehicle taxes, payroll taxes, corporation tax and gift and inheritance tax in the period 2027–2028, and for income tax in 2029. 
  • Phase 2 provides access to the reasoning behind decisions, such as the grounds for an assessment and the progress of a case. This is planned for all the taxes listed in Phase 1 during the period 2029 to 2031 inclusive. 
  • Phase 3 will provide access to a comprehensive and coherent case file. This is planned from 2032 onwards. 

Exception for excise duties and consumption taxes 

For Customs, the right of tax inspection would only apply to excise duties and consumption taxes. However, the State Secretary is excluding these levies from the right of tax inspection. The State Secretary points out that this does not mean that Customs is not committed to further improving the information position and legal protection of taxpayers.

Employment contract for an hourly rate below €38? 

The introduction of the legal presumption does not mean that every contractor working at an hourly rate below €38 is automatically employed by the company. It does, however, mean that the presumption of an employment relationship is accepted. The contractor may rely on this presumption, but the company has the option to demonstrate that no employment contract exists.

If the company fails to prove this, the contractor is entitled to all the protection afforded by employment law. This includes continued payment during holidays and sick leave, and protection against dismissal 

Not applicable to the UWV, the Tax and Customs Administration and the Labour Inspectorate 

The contractor may rely on the legal presumption, but it has effect only under civil law. This means that the UWV, the Tax and Customs Administration and the Labour Inspectorate will not assess this legal presumption. They will continue to carry out their own investigations based on the elements of work, pay and a relationship of authority. 

Immediate effect from 31 December 2026 

The legal presumption will come into force immediately on 31 December 2026. Do you have a contractor who is already carrying out work for you before 31 December 2026 at an hourly rate of less than €38? And will that contractor still be doing so from 31 December 2026 onwards? If so, from 31 December 2026 there will be a presumption that this contractor is employed by you.

What is Solvit?

Solvit is a body established by the European Commission that mediates in disputes regarding the correct application of EU law. Solvit’s services are free of charge.

What kinds of problems?

The issues you can bring to Solvit are diverse. These include problems related to visas, child benefits, or pensions. For businesses, issues concerning trade and services, the recognition of professional qualifications, and VAT refunds are particularly relevant.

Please note!You cannot use Solvit if you have a problem with another business, if you have a problem as a consumer, or if you are seeking compensation. Solvit also cannot help if your case has been brought before a court.

Procedure

A complaint or problem can be submitted online. You must indicate the nature of the problem and which government agency you wish to report the issue to. You may also attach relevant documents, such as correspondence. After submission, the Solvit center in your own country will contact you to prepare your case and then forward it to the Solvit center in the country to which your complaint relates. The goal is to resolve a problem within ten weeks.

Examples

On the Solvit website, you’ll find numerous examples of cases that have been resolved with Solvit’s help. These include, for example, the failure to refund VAT or delays in doing so. Another case involves the refusal to issue a certificate of inheritance. Yet another example involves the refusal to allow a product onto the French market, even though it complied with European regulations.

What does this mean for you?

If you owe taxes, you will receive a notice from the Tax and Customs Administration. The new account number will be included in the notice regarding the taxes due.

Please note!The new account number does not affect the payment method. For example, online payments will still be possible.


The most commonly used new account number for the Tax and Customs Administration is NL04 RABO 0200112244. However, please note that different new account numbers are used for some taxes.

Note regarding recurring payments

If you pay the Tax and Customs Administration periodically via direct debit, you do not need to do anything. The payments will be automatically transferred to the new account number.

You only need to be careful if you have arranged a recurring payment differently, for example via a recurring transfer with your bank. In that case, you must ensure that the account number is updated yourself.

Using the old number is (still) fine

If you accidentally use the “old” account number for a payment to the Tax Authority, your payment will still be forwarded to the Tax Authority and processed there for the time being. The Tax Authority has made arrangements with ING regarding this, so that taxpayers are not penalized.

New income tax account number effective April 20, 2026

To pay a provisional or final income tax assessment, you can use the new account number starting April 20, 2026. 

Benefits

The Benefits Service is also switching to Rabobank and will therefore have a new account number starting May 1, 2026. From that date, you can make payments to the Benefits Service using the new account number NL04 RABO 0200112244. The Benefits Service will make its first payments from this number on Monday, June 22, 2026.

Please note! Here too, if you make a payment to the old account number, the payment will be forwarded to the Tax and Customs Administration’s new account number for the time being.

Tax and Customs Administration warns against phishing

Due to the change in account numbers, the Tax and Customs Administration strongly warns against phishing. Criminals regularly attempt to collect non-existent tax debts from taxpayers via email, text message, WhatsApp, or by phone. However, the Tax and Customs Administration never collects taxes in this manner. If you are unsure whether a message is genuine, follow the step-by-step guide on the Tax and Customs Administration’s website and verify the account number.

New account number for the Tax Authority effective May 1

As of May 1, 2026, the Dutch Tax and Customs Administration and the Benefits Service will switch from ING to Rabobank. This means that the account numbers will also change.

Cash payments of €3,000 or more

For businesses that buy or sell goods, cash payments of €3,000 or more will no longer be permitted starting January 1, 2026. It does not matter whether the business is buying from or selling to another business or to a private individual. In all cases, cash payments of €3,000 or more are prohibited.

Please note! A private individual may accept a cash payment exceeding €3,000 from another private individual, for example, when selling on a marketplace.

The €3,000 limit is intended to make it more difficult to launder cash derived from illegal transactions and thereby also combat terrorism. The limit is also intended to ensure that payment transactions remain accessible.

Base fine amount: €10,000

The fine for violating the ban is set at a fixed base amount of €10,000. The Wwft Supervision Bureau, a division of the Tax and Customs Administration, oversees compliance with the ban.

Lower or higher fine

Special circumstances, such as financial capacity, may justify reducing the fine. On the other hand, repeated violations of the prohibition may justify increasing the fine. For example, a fine of €20,000 may be imposed if the prohibition is violated again within five years of a previous fine.

Base fine of €10,000 for cash payments of €3,000 or more

Starting January 1, 2026, Dutch merchants may no longer make or accept cash payments of €3,000 or more. The base amount of the fine for violating this prohibition is a fixed amount of €10,000.

Deduction of housing costs

It is particularly common among migrant workers for employers to provide accommodation and deduct an amount from the employee's wages for this. In the case of the minimum wage, this deduction may still be a maximum of 25% of that wage in 2025.

Phasing out and abolition

The government believes that the deduction can encourage a model of earning and dependence on the employee. This can lead to the exploitation of migrant workers. The government therefore wants to abolish the scheme.

The proposal is to reduce the deduction by 5% per year from 2026 and to completely abolish the possibility of deducting housing costs from the statutory minimum wage from 2030.
